Terms of service
Plain-English terms covering the use of sico products. By installing one of our Shopify apps, signing up to a standalone product, or otherwise using our software, you agree to these terms.
1. Parties
"sico" is the trading name of Sico Software Ltd, registered in Scotland at Suite 2/3, 2nd Floor, 48 West George Street, Glasgow G2 1BP, United Kingdom (ICO registration ZC106029). "You" refers to the merchant, organisation, or individual that installs or signs up to a product.
2. The service
We provide three products: Ops Console, Growth Layer (both Shopify apps), and Affiliate Manager (a standalone SaaS). Specifics of what each does are at sico.software and inside each product. We may add features, change behaviour, or retire functionality with reasonable notice; material removals are announced 30 days in advance.
3. Your account
You are responsible for the accuracy of the information in your account, for the security of your credentials, and for the actions taken by users you grant access to. Tell us promptly if you suspect a credential has been compromised.
4. Acceptable use
You agree not to use sico to: violate applicable law (including marketing and consumer-protection law in your jurisdiction); send spam or phishing; circumvent third-party platform rate limits or terms; reverse-engineer the service; or upload malware or test third-party security boundaries without authorisation.
5. Fees, billing, and trials
Pricing is shown inside each product before you commit. Shopify-billed apps follow Shopify's standard recurring-application-charge flow with a stated trial. Standalone products bill via Stripe. We invoice in arrears for usage-tied tiers. Unpaid balances overdue by more than 14 days may result in suspension; we will tell you before suspending.
6. Cancellation
Uninstall the app from Shopify, or cancel from your account page on the standalone product. Cancellation takes effect at the end of the current billing period and we do not pro-rate refunds for unused time. 7. Data ownership and processing
You own the data you send us. We process it only to deliver the service. The full processing notice, including retention windows and the third-party processor list, is at sico.software/legal/privacy.
8. Service level and availability
We aim for 99.5% monthly availability for paid tiers, measured at the public-internet edge of our infrastructure. Planned maintenance is announced ahead of time and excluded from availability calculations. We do not currently offer a credit-based SLA; if availability is materially below this target in a given month, contact support@sico.software.
9. Warranty disclaimer
The service is provided "as is" without warranty of any kind, express or implied, to the extent permitted by law. Recommendations the products make (reorder quantities, anomaly diagnoses, attribution weights, suggested actions) are advisory; you remain responsible for the business decisions you take based on them.
10. Liability
To the extent permitted by law, sico's aggregate liability arising out of or relating to the service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of profit, revenue, goodwill, or data.
11. Indemnity
You will defend and indemnify sico against third-party claims arising from your unlawful use of the service or your breach of these terms.
12. Changes to these terms
Material changes are notified by email to active customers at least 14 days before they take effect. Continued use after that date is acceptance of the revised terms.
13. Governing law
These terms are governed by the laws of Scotland. Disputes are subject to the exclusive jurisdiction of the Scottish courts, without prejudice to mandatory consumer-protection rights in your country of residence.
